Financial Cancellation Protocol
1. The Nature of Bespoke Engineering
At DIGITAL PROTOTYPE LTD, we do not sell off-the-shelf Software-as-a-Service (SaaS) products. Our engagements involve the immediate, deterministic allocation of elite systems architects, cryptographic specialists, and localized compute infrastructure.
Consequently, standard consumer refund policies (e.g., 14-day cooling-off periods) are strictly inapplicable to our commercial agreements. All financial commitments are governed by the uncompromising parameters outlined in this Refund and Cancellation Protocol.
2. Diagnostic Audits and Mobilization Fees
Initiating a project requires deep forensic analysis of your legacy monoliths or infrastructure.
- Diagnostic Audits: Payments executed for initial architectural blueprinting or Diagnostic Audits are strictly non-refundable once the auditing process has commenced.
- Project Mobilization: Custom engineering contracts require a standard 30% mobilization fee. This capital secures the allocation of our engineering team and the provisioning of Sovereign Perimeter Control environments. This fee is non-refundable under any circumstances once the Master Services Agreement (MSA) is countersigned.
3. Retainer and SLA Subscription Cancellations
Clients engaged in active operational retainers (such as Active Orchestration or Enterprise SLA) are not bound by multi-year lock-ins, but require deterministic operational winding-down procedures:
- Notice Period: Subscriptions may be cancelled at any time by providing a formal 30-day written notice to our commercial department.
- Final Billing: The Client remains financially liable for the billing cycle encompassing the 30-day notice period. No pro-rated cash refunds are issued for partial months utilized.
- Offboarding: During the 30-day wind-down, we will systematically package your proprietary data and transfer infrastructure control keys to your internal teams.
4. Mid-Project Cancellation and IP Transfer
If a bespoke engineering project (e.g., a massive legacy migration) is cancelled by the Client prior to the final deployment milestone:
The Agency will immediately cease development. The Client will be invoiced exclusively for the engineering hours mathematically logged and resources consumed up to the exact date of cancellation notice. Upon settlement of this final "kill fee" invoice, the Agency will transfer all incomplete source code and Intellectual Property (IP) generated up to that precise moment.
5. SLA Breaches and Deterministic Credits
We guarantee our engineering. If DIGITAL PROTOTYPE LTD fails to meet the stringent uptime (e.g., 99.99%) or Incident Response metrics (e.g., 1h Level 1 Response) explicitly defined in your Enterprise SLA, we do not issue cash refunds.
Instead, we issue Deterministic SLA Credits. These credits are mathematically calculated based on the duration and severity of the outage and are automatically applied as a financial discount to your subsequent monthly billing cycle. The exact calculation matrix is provided within your proprietary MSA.
6. Force Majeure
Neither party shall be liable for failure to perform its obligations (excluding payment obligations) if such failure is the deterministic result of Acts of God, war, geopolitical infrastructure collapse, or global internet backbone failures entirely outside the Sovereign Perimeter Control of the Agency.
